Plain-English summary. If your organization signs up to Muster, this is the agreement. You pay for what you use, we deliver what we promised, neither side does anything dishonest, you can leave whenever, and disputes are resolved fairly. The sections below are the legal version of that.
1. Definitions

| "Customer Data" | All data uploaded, entered, or generated by the Customer or its Authorized Users inside their Muster workspace |
| "Subscription" | The plan the Customer has chosen, including its features, included quotas, and price |
| "Order" | The signup, in-app upgrade, written quote, or invoice that documents a Subscription or change of plan |
2. Acceptance and account creation
By creating an account or using Muster, the person creating the account confirms they are authorised to bind the Customer organization to these Terms and the Privacy Policy. If you are not authorised, do not proceed.
An Order is formed when (a) the Customer completes signup and clicks the "I accept" button in the wizard, or (b) Data Druid issues an invoice or written quote which the Customer countersigns or pays. Either is binding.
3. Use of the service — what you can do
Subject to payment of fees and these Terms, Data Druid grants the Customer a non-exclusive, non-transferable, revocable right during the Subscription term to:
- Access Muster through the Customer's workspace
- Have its Authorized Users use the Subscription's features
- Upload, process, and export Customer Data
- Use Muster's outputs (reports, exports, validated data, invoices) for the Customer's internal business purposes and as needed to comply with the Customer's regulatory obligations
4. Use of the service — what you may not do
The Customer and its Authorized Users will not:
- Reverse-engineer, decompile, or attempt to extract the source code of Muster (except to the extent this restriction is unenforceable under applicable law)
- Resell, sublicense, or provide Muster as a service to a third party that is not the Customer organization
- Access or attempt to access another customer's workspace, data, or account
- Probe, scan, or test the vulnerability of Muster's infrastructure without prior written authorisation. Coordinated disclosure is welcomed at security@datadruidtech.org.ng
- Upload or process data the Customer does not have the right to process under applicable law (this includes consent / lawful basis for personal data of third parties)
- Use Muster to send spam, harass, defame, or harm any person
- Use Muster to validate accounts, run programs, or process payments for purposes that are illegal under Nigerian law or the law of any jurisdiction where the Customer operates — including but not limited to fraud, money laundering, terrorism financing, or sanctions evasion
- Use Muster to circumvent or evade tax obligations
- Knowingly upload malware, viruses, or content designed to disrupt the service or other customers
- Exceed the included quota of a Subscription without buying additional capacity (we'll warn you well before you hit the limit; see §6)
Material breach of this section may result in immediate suspension or termination, with no refund of pre-paid fees.
5. Authorized Users and account security
The Customer is responsible for:
- Choosing who to invite as Authorized Users and at what role
- Promptly removing Authorized Users who leave the organization
- Ensuring Authorized Users keep their credentials confidential
- Notifying us promptly at security@datadruidtech.org.ng if a credential is compromised
We will provide reasonable assistance with account-recovery requests but reserve the right to require identity verification before honouring them.
6. Fees, billing, and quotas
6.1 Subscription model
Pricing is published on Muster's pricing page and quoted in United States Dollars (USD). The Customer pays:
- A recurring Subscription fee (monthly or annual, per the chosen plan)
- Top-up fees if usage exceeds the Subscription's included quota — at the per-unit rate disclosed in the plan
- One-off fees for specific add-ons (e.g. setup support, migration assistance) if explicitly agreed
6.2 Pre-pay vs post-pay
Default for individual customers and small organizations: pre-pay by card or bank transfer. Subscription must be paid before access is enabled.
For larger organizations (typically NGOs, UN agencies, government, donor-funded programs), Data Druid may agree to post-pay terms: an invoice is issued at the end of each billing period, and the Customer pays by bank transfer within the agreed payment terms (typically Net 30). Post-pay terms are at Data Druid's discretion and may be revoked for late payment.
6.3 Grace period and suspension
If an invoice goes unpaid, Muster grants a 7-day grace window by default. After the grace window:
- Validation, batch processing, and exports are suspended
- Read-only access to existing data is preserved for 30 days
- After 30 days, the workspace is archived; restoration is possible up to 90 days from suspension on payment of arrears
- After 90 days, Data Druid may terminate the account and delete the data per §11
The grace window can be extended for an organization on request — typically for organizations whose finance cycles take longer than 30 days. We won't surprise-suspend an account that has communicated about delay.
6.4 Quotas and overage
Each Subscription has an included quota (e.g. 4,000 verifications per month). When 80% used, Muster sends a notification. When 100% used, Muster:
- Continues to allow access to existing data
- Pauses paid actions (further verifications) until the Customer buys a top-up or the next cycle resets
- Does not automatically charge the Customer for overage beyond the quota
6.5 Taxes
Fees are exclusive of any applicable taxes (VAT, withholding tax, etc.). The Customer is responsible for taxes lawfully imposed on the Customer's purchase of Muster.
6.6 Refunds
Subscription fees are non-refundable except where Data Druid materially fails to deliver the service (see §10) or where required by law. Top-up balances purchased and not used remain available for the duration of the active Subscription and roll over with renewal; they expire on termination unless the Customer specifically requests payout, at Data Druid's reasonable discretion.
7. Customer Data and ownership
The Customer owns all Customer Data. Data Druid claims no ownership over Customer Data and processes it only as a processor on the Customer's instructions, as described in the Privacy Policy and the Data Processing Agreement.
Data Druid will not access Customer Data except (a) to operate the service, (b) to respond to a Customer support request, (c) to investigate a security incident, (d) where compelled by law. Where access is for (b), (c), or (d), an audit log is preserved.
The Customer grants Data Druid a worldwide, royalty-free, non-exclusive licence to host, transmit, display, and process Customer Data solely as needed to provide Muster. This licence ends when the Customer Data is deleted.
Data Druid does not use Customer Data to train machine-learning models. Anonymised, aggregated metadata (e.g. "X% of validations across all customers were successful this month") may be used for benchmarking and product improvement, but never in a way that identifies a specific Customer or end-user.
8. Service levels
Data Druid will use commercially reasonable efforts to maintain Muster's availability. Target uptime: 99.5% per calendar month, excluding:
- Scheduled maintenance windows announced at least 48 hours in advance
- Force majeure events (see §13)
- Disruptions caused by third-party services beyond Data Druid's control (e.g. NIBSS-aligned bank verification channels)
- The Customer's own systems, network, or actions
Availability is reported on the Muster status page. If availability falls materially below target for two consecutive months, the Customer may request a service credit equivalent to a pro-rata share of fees for the affected period. Service credits are the Customer's exclusive remedy for availability shortfalls.
9. Confidentiality
Each party will treat the other's non-public information ("Confidential Information") as confidential, will use it only for purposes of this agreement, and will protect it with at least the standard of care it uses for its own confidential information of a similar nature (and in any case no less than reasonable care).
Confidential Information does not include information that is (a) publicly known through no fault of the receiving party, (b) lawfully received from a third party not under a duty of confidentiality, (c) independently developed without reference to the disclosing party's information, or (d) required to be disclosed by law (with prompt notice to the disclosing party where lawful).
10. Warranties and disclaimers
10.1 What Data Druid warrants
Data Druid warrants that during a paid Subscription:
- Muster will substantially conform to its published documentation
- Data Druid will not knowingly introduce malicious code into Muster
- Data Druid will provide the security controls described in the Security Statement
10.2 What Data Druid does not warrant
Beyond the express warranties above, Muster is provided "as is". Data Druid does not warrant that Muster will be uninterrupted, error-free, or that bank verification channels will return correct results in every case. The Customer is responsible for verifying critical results before acting on them (e.g. before paying a beneficiary).
10.3 Bank-verification accuracy
Account verification results are returned by NIBSS-aligned third-party APIs. Data Druid does not control those APIs and does not warrant the accuracy of any specific result. The Customer must use reasonable additional checks (multi-officer review, low-value test transfers, name-spelling reconciliation) before disbursing significant funds.
11. Term, suspension, and termination
11.1 Term
These Terms are effective from acceptance until terminated. Subscription terms are month-to-month or annual, as chosen on signup, and renew automatically at the end of each term unless cancelled.
11.2 Cancellation by the Customer
The Customer may cancel a monthly Subscription at any time, effective at the end of the current paid period. Annual Subscriptions may be cancelled at the end of the annual term; mid-term cancellation does not trigger a refund except where required by law.
11.3 Suspension by Data Druid
Data Druid may suspend the Customer's access:
- For non-payment after the grace window (§6.3)
- For material breach of §4 (acceptable use), with notice unless the breach is so severe (e.g. active fraud, attack on the platform) that immediate suspension is required
- To respond to a security incident affecting other customers
- Where required by law or court order
11.4 Termination
Either party may terminate for material breach not cured within 30 days of written notice. Either party may terminate immediately on written notice if the other becomes insolvent.
11.5 Effects of termination
On termination:
- The Customer's right to access Muster ends
- The Customer may export Customer Data for 30 days after termination, after which Data Druid will delete Customer Data per the retention schedule in the Privacy Policy
- Accrued fees become payable immediately
- §§ 7 (Data ownership), 9 (Confidentiality), 12 (Liability), 14 (Governing law) survive
12. Limitation of liability
To the fullest extent permitted by law:
- Cap: Each party's total liability for all claims arising from or related to this agreement in any rolling 12-month period is limited to the fees paid by the Customer to Data Druid in that period.
- Excluded losses: Neither party is liable for indirect, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or lost data (beyond reasonable cost of restoration from the most recent backup).
- Carve-outs: The cap does not apply to (a) fees owed under §6, (b) Data Druid's wilful misconduct or gross negligence, (c) the Customer's breach of §4, (d) either party's indemnity obligations, (e) liabilities that cannot lawfully be limited.
13. Force majeure
Neither party is liable for failure to perform due to events beyond its reasonable control: natural disasters, war, terrorism, civil disturbance, government action, internet backbone outages, third-party service outages (NIBSS-aligned bank channels, hosting provider outages), pandemics. Performance is suspended for the duration of the event; either party may terminate without penalty if the event lasts more than 60 days.
14. Governing law and disputes
This agreement is governed by the laws of the Federal Republic of Nigeria. The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, except that either party may seek injunctive relief in any competent court to protect Confidential Information or intellectual property.
Before commencing litigation, the parties will attempt to resolve any dispute by good-faith negotiation between authorised representatives for at least 30 days.
15. Changes to these Terms
Data Druid may update these Terms. Changes take effect:
- Immediately for changes required by law
- 30 days after notice by email to the organization owner for material changes
When notified of a material change, the Customer's continued use of Muster after the effective date constitutes acceptance. If the Customer does not accept the change, the Customer may terminate before the effective date.
16. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, the DPA, and any signed Order constitute the entire agreement between the parties on the subject matter.
- Order of precedence. If there is conflict: a signed Order > the DPA > these Terms > the Privacy Policy.
- Assignment. Neither party may assign without written consent, except in connection with a merger or sale of substantially all the business. Data Druid may assign to a parent, affiliate, or acquirer with notice to the Customer.
- Notices. Notices to Data Druid: legal@datadruidtech.org.ng. Notices to the Customer: the email address registered for the organization owner.
- Severability. If any clause is unenforceable, the rest remains in effect.
- Independent contractors. The parties are independent contractors. Nothing here creates an agency, partnership, or joint venture.
- No third-party beneficiaries. These Terms do not confer rights on any third party except as expressly stated.
- Headings. Headings are for convenience only and do not affect interpretation.
